UAE Corporate Tax deregistration deadline and process when closing a company

Cancelling your trade licence does not close your company for tax. Until the FTA approves your Corporate Tax deregistration, your company is still treated as a taxpayer: returns keep falling due, and penalties keep building, even with no one running the business.

This guide explains when you must deregister, what it costs if you’re late, what the FTA needs from you, and how deregistration fits into closing or liquidating a company.

The short answer

You must apply to deregister for Corporate Tax within three months of your business ceasing, for example on dissolution or liquidation. Before the FTA approves it, you must file a final return up to the date you stopped and pay all tax and penalties. Applying late costs AED 1,000, plus AED 1,000 for every further month, up to AED 10,000.

When you must deregister

You must apply to deregister when your business stops existing or stops trading for good. The most common reasons are:

SituationWho it applies to
Company dissolved or liquidatedUAE companies, including free zone companies
Trade licence cancelled and business closedUAE companies and individuals
Company merged into another, which continuesThe company that ceases to exist
Individual permanently stops their businessIndividuals registered because of business turnover
UAE branch or permanent establishment closedForeign companies

A dormant company is not a closed company

If your company is still licensed but not trading, it has not ceased, so you cannot deregister. It stays registered and must keep filing a Corporate Tax return every year, even if it shows nothing. See our guide to the Corporate Tax filing deadline. To stop filing, you have to close the company properly.

The three-month deadline

The clock starts on the date your business ceases, not on the date you get round to dealing with it. For a company, that is normally the date it is dissolved or the date its liquidation completes.

If your company was dissolved on 1 March 2026, your deregistration application was due by 1 June 2026.

Penalties for late deregistration

How latePenalty
Deadline missedAED 1,000
One month after the deadlineAED 2,000 in total
Three months after the deadlineAED 4,000 in total
Nine months or more after the deadlineAED 10,000 (the maximum)

The late deregistration penalty is rarely the only one. While the company is still registered, its returns keep falling due. An unfiled return costs AED 500 a month for the first 12 months, then AED 1,000 a month. On a company nobody is looking after, both penalties run at the same time.

Before you apply: what must be cleared

The FTA will not approve deregistration while anything is outstanding. Before you apply, make sure that:

  • Every Corporate Tax return for past tax periods has been filed
  • A final return has been filed for the last tax period, ending on the date the business ceased
  • All Corporate Tax has been paid
  • Any penalties have been paid
  • Your EmaraTax details are up to date, including the authorised signatory

Your final tax period is usually shorter than a normal year. It runs from the start of your financial year to the date the business stopped. If your accounts are behind, this is where closures stall. Our backlog accounting service brings them up to date.

Documents the FTA usually asks for

  • Trade licence, and the licence cancellation certificate if it has been issued
  • Board or shareholder resolution to close or liquidate the company
  • Liquidator’s report, or other dissolution documents
  • Final financial statements up to the cessation date
  • Passport and Emirates ID of the authorised signatory
  • Any other evidence of the date the business ceased

Your documents must all show the same cessation date as your application. Different dates on different documents are the most common reason the FTA comes back with questions.

How to deregister for Corporate Tax on EmaraTax

Corporate Tax deregistration is one part of closing a company. The licensing authority, the liquidator and the FTA each have their own process, and they depend on each other.

StepWhat happens
1. Decision to closeShareholders pass a resolution and, where required, appoint a liquidator
2. LiquidationAssets are sold, debts are settled, and final accounts are prepared
3. Final tax returnsFinal Corporate Tax return filed and any tax paid
4. Tax deregistrationCorporate Tax and, if registered, VAT deregistration applied for
5. Licence cancellationThe licensing authority cancels the licence

Many licensing authorities ask for confirmation from the FTA before they will finish cancelling a licence. In practice, the tax steps run alongside the liquidation rather than after it. Plan both together.

VAT is a separate deregistration

If your company is VAT registered, you must deregister for VAT too, on a different timeline. VAT deregistration is generally due within 20 business days of becoming eligible, which is much sooner than the three months for Corporate Tax. Leave it until last and it is usually the first deadline you miss.

After deregistration

Approval ends your filing obligations, but not all of your responsibilities:

  • Keep your records. Corporate Tax records must be kept for seven years after the end of the tax period they relate to, even after the company has closed.
  • The FTA can still review past periods. Deregistration does not stop an audit of earlier returns.
  • Starting again with a new company means a new registration. See our guide to Corporate Tax registration in the UAE.

Common mistakes

1. Treating licence cancellation as the end. The FTA registration stays open until you deregister.

2. Trying to deregister a dormant company. If it’s still licensed, it hasn’t ceased.

3. Missing the three-month window while waiting on the liquidation. The deadline is fixed, so start the tax work early.

4. Applying before the final return is filed. The FTA will reject or hold the application.

5. Forgetting VAT. Its deadline is shorter than Corporate Tax’s.

6. Discarding records after closure. They must be kept for seven years.

Frequently asked questions

What is the deadline for Corporate Tax deregistration in the UAE?

Three months from the date the business ceases, for example on dissolution or liquidation.

What is the penalty for late Corporate Tax deregistration?

AED 1,000 when the deadline is missed, plus AED 1,000 for each further month, up to a maximum of AED 10,000.

Can I deregister a dormant company for Corporate Tax?

No. A company that is still licensed but not trading has not ceased, so it must stay registered and keep filing returns. It can only deregister once it is properly closed.

Do I need to file a final Corporate Tax return before deregistering?

Yes. You must file a return for the final tax period, ending on the date the business ceased, and pay any tax and penalties before the FTA approves deregistration.

Is there a fee for Corporate Tax deregistration?

No. The FTA does not charge for deregistration.

Do I need to deregister for VAT as well?

Yes, if your company is VAT registered. It is a separate application with a shorter deadline, generally 20 business days.
